3. Client engagements

Engagements for our engineering services are governed by separate Master Service Agreements (MSAs) and Statements of Work (SOWs) signed by both parties. Those agreements take precedence over anything on this website. In all client engagements, you retain 100% ownership of all code, designs, and deliverables we produce for you, subject to payment of all invoiced amounts.

4. Confidentiality

We treat all client information as confidential by default. We will not disclose your project details, code, or business information to third parties without your written consent. Our standard MSA includes mutual confidentiality clauses, and all employees sign confidentiality agreements as a condition of employment.

5. Warranties & disclaimers

Our website is provided "as is" without warranties of any kind. For client engagements, warranty terms are specified in the applicable MSA and SOW. We warrant that our work will be performed in a professional, workmanlike manner consistent with industry standards. We do not warrant that our website will be error-free or available at all times.

6. Limitation of liability

To the maximum extent permitted by law, Infinity Code Labs shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website. For client engagements, liability is capped as specified in the applicable MSA, typically at the fees paid in the preceding 12 months.

7. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising from these terms will be resolved in the state or federal courts located in Los Angeles County, California. Client engagements may specify different governing law in the applicable MSA.

8. Changes to terms

We may update these terms from time to time. We will post the updated terms on this page and update the "last updated" date. For material changes, we will notify users via a prominent notice on our website. Continued use of our website after changes constitutes acceptance of the updated terms.
